1. Purpose

These Supplier Terms and Conditions establish the quality, regulatory, and documentation requirements for all suppliers and external providers providing products or services to IASDA LLC.

These requirements are intended to ensure compliance with:

  • AS9120 Quality Management System
  • Customer Requirements
  • Regulatory Requirements (FAA, EASA, etc. when applicable)
  • Counterfeit Parts Prevention
  • Product Safety Requirements
  • Traceability Requirements

Acceptance of any IASDA LLC Purchase Order constitutes acceptance of these Terms and Conditions.

2. General Requirements

The Supplier shall ensure that all products and services provided to IASDA LLC:

  • Conform to Purchase Order requirements
  • Meet all applicable statutory and regulatory requirements
  • Meet all customer-specific requirements when specified
  • Are free from damage, deterioration, or contamination
  • Are properly packaged, handled, stored, and shipped
  • Include all required documentation and certifications
  • Maintain full traceability where required
  • Are free from counterfeit or suspect counterfeit parts

The Supplier shall use only approved sources when required by contract, regulation, or manufacturer.

3. Quality Management System

Suppliers shall maintain a Quality Management System appropriate to the products or services provided. Preferred certifications include:

  • AS9120
  • AS9100
  • ISO 9001
  • FAA/EASA approvals where applicable

IASDA LLC reserves the right to:

  • Audit supplier facilities
  • Review quality records
  • Verify product conformity at supplier facility
  • Review supplier performance
  • Remove suppliers from the Approved Supplier List

4. Documentation and Traceability

All shipments must include applicable documentation, which may include:

  • Certificate of Conformance (C of C)
  • Airworthiness Certificates (FAA 8130-3, EASA Form 1, etc.)
  • Packing List
  • Traceability documentation
  • Material Certifications
  • Test Reports
  • Inspection Reports
  • Shelf Life Certification when applicable

Traceability must be maintained to:

  • Original Manufacturer
  • Authorized Distributor
  • Lot/Batch Number
  • Serial Number where applicable

Suppliers shall retain records for a minimum of 10 years unless otherwise specified.

5. Control of Nonconforming Product

The Supplier shall:

  • Prevent shipment of nonconforming product
  • Notify IASDA LLC within 48 hours of discovery of nonconforming product
  • Obtain written approval prior to shipping nonconforming product
  • Implement corrective action when requested
  • Provide root cause analysis and corrective action reports
  • Maintain a corrective action system

IASDA LLC reserves the right to reject any nonconforming product.

6. Counterfeit Part Prevention

Suppliers shall have a counterfeit parts prevention program. Suppliers must:

  • Purchase parts only from Original Equipment Manufacturers (OEMs) or Authorized Distributors
  • Maintain traceability documentation
  • Provide certifications upon request
  • Report suspected counterfeit parts immediately
  • Segregate suspected counterfeit parts
  • Cooperate in investigations

Delivery of counterfeit parts may result in supplier removal from the Approved Supplier List.

7. Packaging, Handling, Storage, and Shipping

Suppliers shall ensure:

  • Packaging prevents damage and deterioration
  • Shelf life items are identified with expiration date
  • Environmental controls are maintained when required
  • Electrostatic sensitive devices are properly protected
  • Hazardous materials are properly labeled and documented
  • Special handling instructions are clearly marked

8. Supplier Flow Down Requirements

The Supplier shall flow down all applicable IASDA LLC requirements to sub-tier suppliers, including:

  • Quality requirements
  • Traceability requirements
  • Documentation requirements
  • Counterfeit prevention requirements
  • Record retention requirements
  • Product safety requirements
  • Ethical behavior requirements
  • Right of access requirements
  • Regulatory requirements

The Supplier remains responsible for all sub-tier supplier performance.

9. Changes

The Supplier shall notify IASDA LLC in writing of any changes including:

  • Product design
  • Manufacturing process
  • Manufacturing location
  • Ownership or management changes
  • Quality Management System certification changes
  • Sub-tier supplier changes
  • Special process changes

Approval from IASDA LLC may be required prior to shipment.

10. Right of Access

IASDA LLC, its customers, and regulatory authorities shall have the right of access to:

  • Supplier facilities
  • Manufacturing areas
  • Inspection areas
  • Documentation and records
  • Sub-tier supplier facilities where applicable

This right of access applies to verification, validation, audit, and investigation activities.

11. Product Safety

Suppliers shall ensure:

  • Product safety requirements are met
  • Personnel are aware of their contribution to product safety
  • Risks related to product conformity and safety are managed
  • Nonconforming product is reported
  • Suspected counterfeit parts are reported

12. Human Factors and Ethical Behavior

Suppliers shall ensure personnel are aware of:

  • Their contribution to product conformity
  • Their contribution to product safety
  • The importance of ethical behavior
  • Counterfeit part prevention
  • Reporting nonconforming product
  • Human factors such as fatigue, communication, training, and work environment

13. Record Retention

Unless otherwise specified, suppliers shall retain records related to IASDA LLC Purchase Orders for a minimum of 10 years.

Records must be made available upon request.

14. Supplier Performance

IASDA LLC may monitor supplier performance based on:

  • On-time delivery
  • Product conformity
  • Documentation accuracy
  • Corrective action response
  • Customer complaints
  • Audit results

Poor performance may result in:

  • Corrective action request
  • Supplier probation
  • Removal from Approved Supplier List

15. Acceptance

Acceptance of any IASDA LLC Purchase Order constitutes acceptance of these Supplier Terms and Conditions.
